REZTORAN KULLANICI VE ÜYELİK SÖZLEŞMESİ

Bu belge, Reztoran Elektronik İletişim Yazılım Ticaret A.Ş. (“Reztoran”) tarafından online olarak (web sitesi ve/veya mobil uygulama ya da benzer platformlarda geliştirilebilen uygulamalar aracılığı ile) sunulan hizmetlere ilişkin olarak Reztoran ile işbu hizmetlerden faydalanmak isteyen kişi (“Kullanıcı”) arasında tanzim edilen yasal anlaşmadır. 

İşbu sözleşmeyi, tamamını okuduktan sonra ilgili linkte bulunan “üye olmayı kabul ediyorum” butonuna tıklayarak kabul etmiş olmaktasınız. Şayet, sözleşmeyi, tüzel kişilik adına akdedecekseniz, söz konusu kutucuğu işaretleyerek, işbu sözleşmeyi ilgili tüzel kişilik nam ve hesabına akdetme yetkiniz olduğunu beyan ve taahhüt etmiş sayılmaktasınız. Sözleşmenin tüzel kişilik nam ve hesabına akdedilmesi halinde, aşağıca yer alan kullanıcı ibaresi, söz konusu tüzel kişilik ile bağlı şirketlerini de kapsamaktadır. 

1. HİZMETLER 

Reztoran tarafından sağlanan restoran rezervasyon hizmetleri; kullanıcılara internet ortamında veya mobil telefonlar ile benzer platformlarda geliştirilebilen uygulamalar aracılığıyla sair dijital ortamlarda sisteme dahil restoranları görüntüleme, online rezervasyon yapma, rezervasyonları değiştirme, geçmiş rezervasyonlarını görüntüleme, sisteme dahil restoranlara ve Reztoran’ın iş ortaklarının sağladığı platformlarda puan verme ve yorum yapma, kullanıcı profillerinde yer alan takvime özel günlerini ekleme, sisteme dahil restoranlar tarafından sağlanan bilgilere erişme ve bu restoranlar için konularında uzman kişiler ve kullanıcılar tarafından yapılan yorumları okuma ve üye restoranlar tarafından kullanıcılara sunulabilecek özel fırsatlardan yararlanma, sipariş verme, siparişin teslimi, uygulama içerisinde arkadaş olarak ekleme, sohbet seçeneklerini kullanma ve Reztoran tarafından verilecek sair hizmetleri kapsamaktadır. 

Sipariş hizmeti kapsamında kullanıcılar; (i) Tek bir sepet üzerinden birden fazla restorandan eş zamanlı olarak sipariş verebilmekte, (ii) Diğer kullanıcılarla birlikte ortak sepet oluşturma özelliğini kullanarak grup siparişleri planlayabilmekte, (iii) Diledikleri kişilere uygulama üzerinden yemek ısmarlayabilmekte veya hediye gönderiminde bulunabilmekte, (iv) Siparişlerinin durumunu anlık olarak takip edebilmekte ve teslimat süreçleri hakkında bildirim alabilmektedir.

1. ÜYELİK SİSTEMİ
2. Reztoran sistemine (“Portal”) üye olan kullanıcının, kendi belirleyeceği “kullanıcı adı” ile “şifresi” ilgili kullanıcıya özel gizli bilgiler olup kullanıcı bu bilgileri üçüncü şahıslarla paylaşmamakla yükümlüdür. Aksi halde bu bilgilerin üçüncü şahıslar tarafından kullanımından doğacak tüm zararlardan ve taleplerden, doğrudan kullanıcı sorumlu olacaktır. Kullanıcı şifresi unutulduğu takdirde, Reztoran, talep üzerine, kullanıcının Portal’da kayıtlı e-posta adresine yeni şifre oluşturabilmek için bir bağlantı gönderecektir.
3. Portal’a üye olarak hizmetlerden faydalanan kullanıcılar, oluşturdukları kullanıcı hesaplarına girerek gelecek ve geçmiş rezervasyonlarını takip etme, gelecek rezervasyonlarını güncelleme ve iptal etme, , Reztoran Card bakiyelerini inceleme, sipariş verme, başkasına yemek ısmarlama, siparişin teslimi, uygulama içerisinde arkadaş olarak ekleme, sohbet seçeneklerini kullanma ve Reztoran tarafından üyelere özel sunulacak faydalardan yararlanabileceklerdir. Portal’a üye olmayan kullanıcılar, bu hizmetlerden yararlanamazlar. 
4. Kullanıcılar, Reztoran platformu üzerindeki diğer kullanıcılarla arkadaşlık ilişkisi kurabilirler. Kullanıcılar, bir diğer kullanıcının profilini görüntüleyerek, “Arkadaş olarak ekle” seçeneğini kullanarak arkadaşlık talebinde bulunabilir. Arkadaşlık talebi, karşı kullanıcı tarafından onaylanmadığı sürece geçerli olmayacaktır. Arkadaşlık ilişkisi kurulduktan sonra, kullanıcılar birbirleriyle daha hızlı ve kolay bir şekilde sohbet edebilirler. Mobil uygulamadaki sohbet etme özelliği, kullanıcıların birbirleriyle iletişim kurabilmelerini sağlar. Kullanıcılar, üye olduklarında, diğer kullanıcılarla sohbet ederek, restoran deneyimlerini paylaşabilir, önerilerde bulunabilir ve Reztoran platformu üzerinden sağlanan diğer imkanlar hakkında konuşabilirler. Ayrıca, kullanıcılar arasında iş birliği ve kolaylık sağlamak amacıyla ortak sepet oluşturma imkanı sunulmaktadır. Bu özellik sayesinde birden fazla kullanıcı, aynı sipariş sepeti üzerinde birlikte çalışabilir, grup halinde sipariş verebilir veya arkadaşlarına yemek ısmarlayabilirler. Tüm bu özellikler yalnızca üye girişi yapan kullanıcılara sunulacaktır. Reztoran, platformda arkadaşlık taleplerini, sohbet etme özelliklerini ve kullanıcılar arası iletişimi düzenlerken, kullanıcıların diğer kullanıcıları rahatsız edici veya uygunsuz bir şekilde iletişime geçmelerini engellemek için çeşitli denetimler gerçekleştirebilir. Kullanıcılar, diğer kullanıcılarla sohbet ederken veya arkadaşlık talepleri gönderirken, her zaman platformun kullanım koşullarına ve etik kurallarına uymalıdır. Aksi takdirde, kullanıcı hesabı uyarı almadan veya kısıtlamalar getirilmeden askıya alınabilir. Kullanıcılar, başka kullanıcılara hakaret etmek, cinsel içerik paylaşmak, ırkçı, ayrımcı, tehditkar veya yasa dışı faaliyetlere dair içerikler göndermekten kaçınmalıdır. Reztoran, bu tür davranışları tespit ettiğinde, ilgili kullanıcıların hesaplarını askıya alma veya sonlandırma hakkına sahiptir. Reztoran, platformda kullanıcılar arasında sohbet etme ve arkadaşlık ilişkisi kurma özelliklerini tamamen veya kısmen durdurma veya sınırlama hakkına sahiptir. Bu tür bir değişiklik, kullanıcıların platformu kullanma deneyimini etkilememesi için önceden bildirilir. Reztoran, platformun amacına uygun olmayan veya etik dışı davranışları engellemek için sohbet etme ve arkadaşlık ekleme özelliklerine sınırlamalar getirebilir.
5. Kullanıcı, Reztoran uygulaması veya web sitesi üzerinden verdiği siparişi, siparişin restorana iletilmesinden önceki 1 (bir) dakika içerisinde herhangi bir gerekçe göstermeksizin ve ücret ödemeksizin iptal etme hakkına sahiptir. İptal işlemi yalnızca sistem üzerinden sağlanan “İptal Et” seçeneği aracılığıyla yapılabilir. Süre dolduktan sonra veya sipariş restorana iletildikten sonra gerçekleştirilecek iptal talepleri Reztoran’ın veya ilgili restoranın onayına tabidir ve bu durumda ücret iadesi yapılmayabilir.
6. 18 yaşından küçüklerin veya kısıtlı olanların, işbu internet sitesine, velileri veya vasilerinden izin almaksızın bilgi sunmalarından ve işlem yapmalarından Reztoran sorumlu tutulamaz.
7. Kullanıcı dilediği zaman üyeliğini sonlandırma hakkına sahiptir. Üyeliğinizi sonlandırdıktan sonra sitemiz ile tüm ilişkiniz kesilmiş olacaktır.
8. Üyelik hesabına ilişkin güçlü ve güvenli şifre seçilmesi, şifrenin gizli ve güvenli bir şekilde saklanması ve hesap bilgilerinin üçüncü kişilerle paylaşılmamasına yönelik tüm sorumluluk Kullanıcıya aittir. 

 

1. KULLANICININ YÜKÜMLÜLÜKLERİ 
2. Kullanıcı, kayıt formunda yer alan bilgilerin doğru olduğunu kabul eder. Kullanıcı, hatalı veya noksan bilgi vermesi nedeniyle kendisinin veya üçüncü kişilerin uğrayacağı zararların sorumluluğunun kendisine ait olduğunu ve bu durumda Portal üyeliğinin sona ereceğini kabul eder.
3. Kullanıcı, Reztoran’ın işbu Sözleşme kapsamındaki hizmetlerini doğru ve etkin bir şekilde sunulabilmesi amacıyla, Portal’a girdiği isim ve sair irtibat bilgilerin, rezervasyonu alan üye restoranlar ile paylaşılmasına muvafakat vermektedir. Reztoran, kullanıcı ve üye restoran arasında işbu paylaşılan bilgiler nedeniyle yaşanabilecek uyuşmazlıklarda taraf değildir ve bu uyuşmazlıklardan sorumlu tutulamaz.
4. Kullanıcı, “Kullanıcı adı” veya kayıtlı e-posta adresiyle yapacağı her türlü işlemden bizzat kendisinin sorumlu olduğunu kabul eder.
5. Kullanıcı, Reztoran tarafından verilen hizmetlerin ve kullanıcının kullanımına sunulan web sitesi ve yazılımların telif hakkının Reztoran’a ait olduğunu, bu yazılımları hiçbir şekilde çoğaltıp, dağıtmayacağını kabul ve taahhüt eder. Kullanıcı tarafından yanlış, düzensiz, eksik ve yanıltıcı bilgi sağlanması, internet sitesi içeriğinin izinsiz olarak kısmen veya tümüyle kopyalanması ve/veya internet sitesinin güvenliğini tehdit edecek, sitenin ve kullanılan yazılımların çalışmasını engelleyecek yazılımların kullanılması, faaliyetlerin yapılması, yapılmaya çalışılması ve bilgilerin alınması, silinmesi, değiştirilmesi hallerinde Reztoran Kullanıcının site kullanımını engelleyebilir ve bu tür girişimlere karışan kişi veya kişiler hakkında kanuni haklarını saklı tutar.
6. Kullanıcı, Portal’a girdiği şahsi fikir, düşünce ve ifadeler ile Portal’a eklediği dosyaların, gönderdiği kişisel bilgilerinin sorumluluğunun kendisine ait olduğunu ve üye restoran ile kullanıcı arasında oluşabilecek ihtilaflar da dahil Reztoran’ın bu fikir, bilgi, düşünce ifade ve dosyalardan dolayı hiçbir şekilde sorumlu tutulamayacağını kabul eder.
7. Kullanıcı, Portal’da üçüncü kişilere ait görsellerin, düşüncelerin, telif hakkını haiz içeriklerin ve benzerlerinin izinsiz olarak kullanılmasından sadece kullanıcının mesul olacağını ve kati suretle Reztoran’ın sorumluluğunun olmadığını kabul eder.
8. Kullanıcı, Portal’da bazı hallerde yer alabilen 18 (onsekiz) yaşından büyüklere ait içeriğin usule aykırı şekilde görüntülenmesini sorumluluğunun sadece kendisine ait olduğunu kabul eder.
9. Kullanıcı, Portal dışında sair bir hizmet sağlayıcı üzerinden alınmış fırsat veya kampanyanın, kampanya dahilinde belirtilen süre içerisinde kullanmamasından dolayı sorumluluğun sadece kendisine ait olacağını kabul eder. 
10. Kullanıcı, Portal aracılığıyla yaptığı rezervasyonları ilgili restoran tarafından belirlenen opsiyon dahilinde değiştirmediği veya rezervasyonda belirtilen zamanda ilgili restoranda bulunmadığı takdirde rezervasyonun iptal edilebileceğini kabul eder.
11. Kullanıcı, yaptığı rezervasyonları sık sık iptal etmesi halinde, ilgili restoran tarafından rezervasyon alınmayabileceğini, çeşitli restoranlarda tekerrür eden rezervasyon iptalleri halinde ise üyeliğinin askıya alınabileceğini veya iptal edilebileceğini kabul eder.
12. Kullanıcı, Reztoran tarafından verilen hizmetin sadece kullanıcı ile sisteme dahil restoranlar arasında bilgi iletişimini sağlamak olduğunu, Portal üzerinden sağlanan rezervasyonların, üye restoranların rezervasyon durumları ile sınırlı olduğunu, ilgili restoranın rezervasyon almamasından, rezervasyonun değiştirilmemesinden veya iptal edilememesinden veya üye restoranların sağladığı içerikten Reztoran’ın sorumlu olmadığını, Portal’da yayınlanan rezervasyon durumunun her zaman güncel durumu yansıtmayabileceğini bildiğini, kullanıcı ile restoran arasında, restoranın kullanıcıya verdiği hizmet nedeniyle veya başka sebepten doğabilecek ihtilaflarda Reztoran’ın taraf olmadığını ve sorumluluğunun olmadığını kabul eder. Aynı şekilde, Reztoran platformları üzerinden verilen siparişlerin, sisteme dahil restoranlar tarafından sağlanan hizmetler kapsamında olduğunu, siparişlerin hazırlanması, teslim edilmesi, iptali veya değişikliği ile ilgili süreçlerin tamamen restoranların sorumluluğunda olduğunu, bu konularda ortaya çıkabilecek herhangi bir aksaklık veya ihtilaf durumunda Reztoran’ın taraf olmadığını ve sorumluluk taşımadığını kabul eder. Kullanıcı, Reztoran’ın yalnızca bilgi akışını sağladığını ve restoranlar ile kullanıcılar arasındaki hizmet ilişkisinde doğacak hukuki veya ticari sonuçların taraflar arasında çözüleceğini anlar.
13. Kullanıcıya, Portal’ın kullanımı sırasında rezervasyonun yapılabilmesi için bir ücret üzerinden ön provizyon alınabileceği bildirildiği takdirde, bu ödemenin söz konusu restoran ile kullanıcı arasında gerçekleştirileceğini, Reztoran’ın söz konu provizyon işleminin veya ödemenin gerçekleşmesi veya gerçekleşmemesinden sorumlu tutulamayacağını, ön provizyon alınmadığı veya sonradan ödeme tahsilatı başarıyla gerçekleştirilemediği takdirde, ilgili restoran tarafından sunulacak hizmetin ifa edilmeyebileceğini ve/veya kendisine sunulan özel fırsatlardan yararlanamayabileceğini ve ödeme ile ilgili konularda Reztoran’ın sorumlu olmadığını kabul eder.
14. Kullanıcı, Portal’da sunulan hizmetlerin, ürünlerin veya özel kampanyaların durum, fiyat ve özellik bilgilerini değiştirme yükümlülüğünün sadece sisteminde yer alan restoranlara ait olduğunu bildiğini, rezervasyon durumu, kampanya fiyat ve özellik bilgilerinde veya siparişlere ilişkin bilgilerde hata oluştuğu takdirde Reztoran’ın bu hatalardan sorumlu olmadığını kabul eder.
15. Kullanıcı, Portal’ı kullanması sırasında bilgilerin kaybolması veya eksik yansıtılması veya yanlış adrese iletilmesinden Reztoran’ın sorumlu olmayacağını kabul eder.
16. Kullanıcı, Portal’da verilen hizmetlere sistemde belirlenen şekilde ulaşmayı, sistemdeki form ve şekillere müdahale etmemeyi, değiştirmemeyi, değiştirilmiş olduğu belli olanları kullanmamayı, aksi takdirde Reztoran’ın bu konuda uğrayacağı maddi ve manevi zararları karşılamayı kabul ve taahhüt eder.
17. Kullanıcı, Portal’a girdiği bilgi ve verilerinin yetkisiz kişilerce kullanılmasından, ayrıca paylaşımlarının üçüncü kişiler tarafından izinsiz şekilde kullanılmasından, paylaşılmasından veya yayınlanmasından dolayı gelebilecek zararlardan dolayı oluşabilecek zararlardan Reztoran’ın sorumlu olmadığını kabul eder.
18. Kullanıcı, Türkiye Cumhuriyeti kanunlarına ve uluslararası anlaşmalara aykırı içeriğe sahip, tehdit edici, ahlak kurallarına aykırı, hakaret, küfür içeren veya ırkçı söylem taşıyan mesaj veya yorum göndermemeyi, Portal’a eklediği yazı, başlık, rumuzların genel ahlak, görgü ve hukuk kurallarına uygun olması gerektiğini kabul ve taahhüt eder.
19. Kullanıcı, diğer kullanıcıların Portal’ı kullanmasını olumsuz etkileyecek şekilde davranmamayı, üçüncü şahıslara (diğer kullanıcı ya da restoranlara ve bunların çalışanlarına vs.) hakaret, tehdit ve taciz içeren sözler söylememeyi, kişi veya kurumların kişilik haklarını ve isimlerini ihlal etmemeyi, hakaret etmemeyi, ahlaka aykırı, yakışıksız veya kanun dışı materyal veya bilgiler yayımlamamayı, basıp çoğaltmamayı, dağıtmamayı kabul eder.
20. Kullanıcı, Portal’ı ticari veya reklam amacıyla kullanmamayı, herhangi bir mal veya hizmet satmamayı veya satılmasına yönelik teklifte bulunmamayı, anket, yarışma veya zincir mektup faaliyetlerinde bulunmamayı, diğer kullanıcıların bilgisayarındaki bilgilere veya yazılıma zarar verecek bilgi veya programlar göndermemeyi kabul ve taahhüt eder.
21. Kullanıcı, Portal’ı kullanmasından dolayı uğrayacağı zararın sorumluluğunun tamamen kendisine ait olduğunu, Portal’ı kullanması sırasında elde ettiği bilgi, kayıt veya malzemeyi kullanmasından dolayı kendisinin uğrayacağı zararın veya bilgisayarının uğrayacağı zararın, arızaların, bilgi kayıplarının ve sair zarar ve kayıpların sorumluluğunun tamamen kendisine ait olduğunu, bu konularda Reztoran’dan her ne ad altında olursa olsun herhangi bir alacak, tazminat ve sair talebinin olmadığını kabul eder.
22. Kullanıcı uygulama ve internet sitesi üzerinden yapacağı ödemelerde bilgilerinin (kredi kartı, GSM numarası bilgileri vb.) doğru olduğunu, bunlardan kaynaklanan hukuki ve cezai sorumlulukların kendisine ait olduğunu kabul ve taahhüt eder.
23. Kullanıcı kanunlara göre iletilmesi yasak olan bilgileri iletmemeyi ve zincir posta, yazılım virüsü ve benzer gönderilme yetkisi olmayan verileri paylaşmamayı, başkalarına ait kişisel bilgileri kayıt etmemeyi, yaymamayı, kötüye kullanmamayı, rezervasyon sisteminde çerez tabir edilen tanımlama bilgileri kullanıldığını, çerezlerin bir internet sitesinin kullanıcının bilgisayarındaki sabit diskte çerez dosyasına aktardığı bilgi parçaları olduğunu, bunların kullanıcıların sistemde gezinmesine olanak sağladığını ve gerektiğinde siteye erişen kullanıcıların ihtiyaçlarına uygun içeriklerin hazırlanmasına yardımcı olduğunu bildiğini kabul ve taahhüt eder.

 

1. REZTORAN’IN YETKİLERİ 
2. Reztoran, Portal’ın ve Portal’ın kullanılması ile oluşacak data ve verilerin tüm fikri ve sınai haklarına sahiptir. Reztoran ürettiği veya dışardan satın aldığı bilgi, belge, yazılım, tasarım, grafik vb. eserlerin mülkiyet ve mülkiyetten doğan telif haklarına sahiptir.
3. Reztoran, kullanıcılarını yararlanabilecekleri promosyonlar ile Portal dahilindeki yeni hizmet veya projelerden e-posta yolu ile Kullanıcının açık rızası ile haberdar edebilir, kullanıcılara sosyal medya kanalları dahil olmak üzere kullanıcıların paylaştıkları her türlü iletişim kanalı üzerinden ulaşabilir ve çeşitli promosyon, kampanya ve benzer bilgileri paylaşabilir. Kullanıcılar bilgilendirilmek istedikleri kanalları kendileri belirleyebilecektir ve dilediklerinde bilgilendirme e-posta listesinden çıkma veya sair kanallar aracılığıyla bilgilerin kendilerine iletilmemesi yönündeki taleplerini iletebilirler.
4. Reztoran her zaman herhangi bir uyarı yapmadan Portal’ın çalışmasını geçici bir süre askıya almaya veya tamamen durdurmaya, güvenlik şüphesi doğuran işlemler yapan ya da işbu Sözleşme’de belirtilen kurallara veya hizmet veren restoranın kurallarına aykırı davranan kullanıcıların üyeliklerini geçici bir süre askıya almaya veya tamamen durdurmaya yetkilidir. Portal’ın veya kullanıcı üyeliğinin geçici bir süre askıya alınması veya tamamen durdurulmasından dolayı Reztoran’ın kullanıcılara veya üçüncü kişilere karşı hiçbir sorumluluğu yoktur.
5. Reztoran, üyelerin kullanıcı adı veya e-posta ile şifrelerini, üyelerin talep etmesi halinde görüntüleyebilmektedir.
6. Reztoran dilediği zaman ve sürekli olarak tüm rezervasyon sistemini izlemeye yetkilidir.
7. Reztoran, Portal’ı, tüm içeriği ile birlikte, reklam ve ticari amaçla kullanmaya yetkilidir.
8. Reztoran, kullanıcıların Portal’dan yararlanmaları sırasında ortamda bulunduracakları dosyaların, mesajların bazılarını veya tamamını uygun göreceği periyodlarla yedekleme ve silme yetkisine sahiptir. Yedekleme ve silme işlemlerinden dolayı Reztoran’ın herhangi bir sorumluluğu bulunmamaktadır.
9. Reztoran, kullanıcılarının ürettiği ve yayınlanmak üzere kendi iradesiyle sisteme yüklediği her türlü bilgi, belge, yazılım, tasarım, grafik vb. eserlerin her türlü yazılı ve görsel mecrada yayınlanma, işleme, sosyal medya ağlarında paylaşma veya rezervasyon sistemi içinde uygun göreceği başka bir yere taşıma haklarına sahiptir. Yayınlanan bu bilgilerin başka kullanıcılar tarafından kopyalanması, işlenmesi veya yayınlanmasından dolayı kullanıcı Reztoran’dan ne ad altında olursa olsun herhangi bir hak, alacak tazminat veya telif ücreti talep edemez.
10. Reztoran, www.reztoran.com web sitesinden farklı web sitelerine yönlendirme yapabilir. Bu durumda, kullanıcı geçiş yapacağı sitelerin içeriğinden Reztoran’ın sorumlu olmadığını kabul eder. Reztoran, bu web sitelerinin güvenliği, doğruluğu, güncelliği veya içeriği konusunda herhangi bir garanti vermez.
11. Reztoran, ileride doğacak teknik zaruretler ve mevzuata uyum amacıyla sözleşmenin uygulamasında değişiklikler yapabilir, mevcut maddelerini değiştirebilir veya yeni maddeler ilave edebilir. Yapılacak bu değişiklikler, kullanıcıların bilgilendirilmesi suretiyle geçerlilik kazanır. Reztoran, sözleşme değişikliklerini web sitesinde yayınlayarak veya kullanıcılara bildirimde bulunarak duyurabilir.

 

1. FİKRİ MÜLKİYET HAKLARI VE KULLANIMI
2. “REZTORAN” markası ve “Reztoran” portalına ait her türlü kullanım hakları, lisans hakları ve diğer fikri ve sınai hakların tamamı REZTORAN’a aittir. Bu hakların kapsamı, kısıtlama olmaksızın, telif haklarını, tescilli olsun ya da olmasın tasarım ve marka ve ticari ad haklarını ve diğer tüm benzeri dünya çağında ve ülke sınırları içerisindeki hakları içermekte olup bunlardan doğan dünya genelindeki ve/veya Türkiye sınırları içerisindeki tüm fikri ve sınai mülkiyet hakları REZTORAN’a aittir. Üyeler, Reztoran hizmetlerini, Reztoran bilgilerini ve Reztoran’ın telif haklarına tabi çalışmalarını yeniden satamaz, paylaşamaz, dağıtamaz, sergileyemez, çoğaltamaz, bunlardan türemiş çalışmalar yapamaz veya hazırlayamaz, veya başkasının satıcının hizmetlerine erişmesine veya kullanmasına izin veremez; aksi takdirde, lisans verenler de dahil ancak bunlarla sınırlı olmaksızın, üçüncü kişilerin uğradıkları zararlardan dolayı satıcıdan talep edilen tazminat miktarını ve mahkeme masrafları ve avukatlık ücreti de dahil ancak bununla sınırlı olmamak üzere diğer her türlü yükümlülükleri karşılamakla sorumlu olacaklardır.
3. Portal içerisinde ya da web sitesinde kullanılan “REZTORAN” markası dışındaki diğer tüm marka, logo, fotoğraf, şirket ya da ürün ismi gibi fikri ve sınai mülkiyet hakları, ilgili şirket ya da kişilere aittir.
4. Reztoran’a ait ticari unvanı, markayı, logoyu ve sair tanıtıcı işaretlerin Reztoran’ın önceden yazılı onayı olmaksızın gerçekleştirilen her türlü kullanım, Reztoran’ın fikri ve sınai haklarının ihlali anlamına gelecek ve Reztoran yasal yollara başvurma ve işbu Sözleşme’yi, ayrıca bir ihtar ya da mehile gerek kalmaksızın, derhal, tek taraflı olarak ve herhangi bir tazminat, ücret vs. ödeme yükümlülüğü olmaksızın, feshetme haklarına sahip olacaktır.
5. Kullanıcı; (i) Portal’a yükleyeceği ya da yüklenmesini istediği her türlü bilgilerin, mesaj, veri, metin, fotoğraf, logo, grafik, görsel, bağlantı ve ilgili tüm materyaller ile verilerin, hukuken yetkili hak sahibi olduğunu ve  üçüncü şahıslardan alınması gereken telif ve benzeri haklara ilişkin gerekli izin, onay ve lisanslara sahip olduğunu, (ii)bunların yayınlanması ve/veya kullanımı ile üçüncü şahıslara ait herhangi bir telif hakkının ya da fikri ve sınai mülkiyet hakkının ihlal edilmediğini, (iii)tüm bu materyal ve verilerin, www.reztoran.com web sitesi ve REZTORAN’a ait mobil uygulamalar içerisinde ve reklam amacıyla reklam alanlara ait site ya da mobil uygulamalarda yayınlanmasına ve kullanılmasına ve ayrıca bunların REZTORAN’ın reklamı, pazarlanması, tanıtımı ve REZTORAN hizmetlerinin analizi amacıyla, REZTORAN tarafından kullanılmasına ve yayınlanmasına muvafakat ettiğini, (iv)şbu hak sahipliklerinde herhangi bir değişiklik olması halinde, REZTORAN’ı söz konusu değişiklikten derhal haberdar edeceğini, 

 

gayrikabili rücu beyan, kabul ve taahhüt eder.

1. Kullanıcı, Portal’a girdiği ve şahsına ait mesajlar, yorumlar, fotoğraflar ve yazışmalar ile ilgili tüm yayımlama, işleme ve çoğaltma, yayma, temsil, işaret, ses ve/veya görüntü nakline yarayan araçlarla umuma iletim, üçüncü kişilere devir ve temlik hakları dâhil olmak üzere 5846 sayılı Fikir ve Sanat Eserleri Kanunu’nda sayılan tüm mali haklarını ve işbu mali hakların kullanılmasına ilişkin manevi haklarını, süresiz ve bedelsiz olarak, Reztoran’a devrettiğini beyan ve taahhüt eder. Bu doğrultuda, Kullanıcı, Reztoran’ın, kullanıcının Portal’a kaydettiği yorumlarda adının tam ve soyadının ilk harfini paylaşmasına, üyelik bilgilerini açıklamadan rapor düzenlemesine, bu tarz bilgileri ve raporları kullanmasına ve rapor veya istatistikleri iş ortakları ile veya üçüncü kişilerle bedelli veya bedelsiz paylaşmasına muvafakat vermiştir.
2. Kullanıcı internet sitesi dahilinde bulunan ürünleri, bilgileri, her türlü veri tabanını, resimleri, metinleri, ikonları, görsel ve işitsel vesair imgeleri, video klipleri, dosyaları, web sitesi, software-code'ların html kodu ve diğer kodlar vs. ile , tasarımları, katalogları ve listeleri kısmen ya da tamamen çoğaltamayacağı, kopyalamayacağı, dağıtmayacağı, işlemeyeceğini, online ya da diğer bir yöntem kullanılmak suretiyle göndermeyeceğini, gerek bu eylemleri ile gerekse de başka yollarla, Reztoran ile doğrudan ve/veya dolaylı olarak rekabete girmeyeceğini kabul ve taahhüt etmektedir.
3. Kullanıcı, işbu maddede yer alan yükümlülüklerinden herhangi birini ihlal etmesi halinde, Reztoran’ın uğrayacağı her türlü zarardan münhasıran ve doğrudan sorumlu olacaktır

 

1. KİŞİSEL VERİLER

İşbu Kullanım ve Üyeli Sözleşmesini kabul ederek (www.reztoran.com/kvk) adresinde bulunan Kişisel Verilerin İşlenmesi ve Korunması Politikasını kabul etmektesiniz.   

1. SORUMLULUĞUN SINIRLANDIRILMASI
2. İşbu Sözleşme ile veya aracılığı ile sağlanan tüm hizmetler "olduğu gibi" ve "elverişlilik" esasına göre Sözleşme’de yazılı şartlar dahilinde sağlanmaktadır.
3. Reztoran, Portal’ın, web sitesinin, mobil uygulamanın ve sair yöntemlerin kullanımıyla elde edilen hizmetin, herhangi bir hizmetin veya malın güvenilirliğini, dakikliğini, kalitesini, uygunluğunu veya mevcudiyetini ya da hizmetin kesintisiz ve hatasız olacağını ifade etmez, kefil olmaz ya da garanti etmez. Reztoran, sisteme üye restoranların kullanıcılara verecekleri hizmetin kalitesini, uygunluğunu, güvenliğini veya yeteneğini de garanti etmez. Hizmetleri veya onlarla bağlantılı olarak talep edilen herhangi bir hizmetin ya da malın kullanımından doğacak tüm risk yürürlükteki kanunun izin verdiği azami ölçüde ilgili restorana ait olacaktır.
4. Reztoran, zarar olasılığından haberdar edilmiş olsa dahi Sözleşme konusu hizmetlerin kullanımıyla bağlantılı veya herhangi bir şekilde bunun sonucu olan kâr kaybı, veri kaybı, kişisel yaralanma ve mal hasarı dâhil hiçbir dolaylı, tesadüfi, hususi, emsal niteliğinde, ceza gerektiren ve sonucu olan hasarlardan yükümlü değildir.
5. Reztoran’ın makul kontrolünün dışındaki sebeplerden kaynaklanan performans gecikmelerinden ya da başarısızlıklarından Reztoran yükümlü değildir. Ayrıca Reztoran; (i) Web sitesinde, mobil uygulamada ya da Portal’da yapacağı değişikliklerden, (ii) Web sitesinin (veya site içindeki herhangi bir özelliğin) sunulmasında meydana gelebilecek kalıcı veya geçici kesintilerden; (iii) Kullanıcı’nın, web sitesini, Portal’ı, mobil uygulamayı kullanımı yoluyla elde edilen veya aktarılan herhangi bir içeriğin veya diğer yazışmaların silinmesi, bozulması veya muhafaza edilmemesinden; (iv) Kullanıcı’nın Portal’a girdiği bilgilerin doğru olmamasından; (v) Kullanıcı’nın şifresinin veya kullanıcı hesabı ayrıntılarının güvenliğini ve gizliliğini sağlamamasından; (vi) Kullanıcı’nın kullandığı ekipman, donanım, altyapı, sistem, server veya networkte meydana gelen hata, arıza, kesinti nedeniyle web sitesine ya da Portal’a ulaşılamamasından sorumlu olmayacaktır.
6. Taraflar, Reztoran’ın işbu Sözleşme konusu hizmetlerle ilgili tüm hasar, kayıp ve hukuki sebepler için Kullanıcı’ya olan yükümlülüğünün, işbu yükümlülüğün kesinleşmiş mahkeme kararı ile belgelendirilmesi kaydı ile, bu tazminat istemine sebep olan olaydan önceki bir yıllık dönem içinde Reztoran’ın Kullanıcı’dan tahsil ettiği hizmet bedeli toplamı ile sınırlandırılması hususunda karşılıklı mutabık kalmışlardır.

 

1. DİĞER HUSUSLAR
2. İşbu Sözleşme taraflar arasında kullanıcının, kullanıcı kayıt formunu doldurmasından ve sözleşmeyi kabul ettiğini sistemde işaretlemesinden itibaren süresiz olarak yürürlüğe girer. Taraflar işbu sözleşmeyi diledikleri zaman sona erdirebilirler.
3. İşbu Sözleşme hükümlerinden herhangi birinin ihlali halinde, Reztoran, ayrıca bir mehil ya da ihtara gerek olmaksızın, işbu Sözleşme’yi tek taraflı olarak feshetme ve varsa üyeliği ve hizmet tedarikini durdurma ve/veya sona erdirme hakkına sahiptir.
4. Kullanıcı, işbu Sözleşme’yi veya üyeliğini, Reztoran’ın önceden yazılı onayı olmaksızın bir bütün olarak veya herhangi bir parçasını temlik veya devir edemez.
5. İşbu sözleşmenin yorumunda ve/veya işbu sözleşme sebebiyle ortaya çıkacak olan her türlü uyuşmazlığın çözümünde, -sözleşmeye herhangi bir şekilde yabancılık unsuru dahil olsa dahi Kanunlar İhtilafı Kurallarına gidilmeksizin-, doğrudan Türk Hukuku uygulanacaktır.
6. İşbu sözleşmenin uygulanmasında, T.C. Ticaret Bakanlığınca her yıl Aralık ayında belirlenen parasal sınırlar dahilinde üyenin yerleşim yerindeki ürünü satın aldığı veya ikametgâhının bulunduğu yerdeki İl veya İlçe Tüketici Sorunları Hakem Heyetleri, söz konusu değerin üzerindeki ihtilaflarda ise Tüketici Mahkemeleri yetkilidir.
7. Kullanıcı, Reztoran’ın veri tabanında veya sunucularında tuttuğu elektronik kayıtların, ticari defter kayıtlarının, bilgisayar kayıtlarının ve sair ticari belgelerinin HMK madde 193 anlamında muteber, bağlayıcı, kesin ve münhasır delil teşkil edeceğini ve bu maddenin delil sözleşmesi niteliğinde olduğunu, Reztoran’ı yemin teklifinden ari kıldığınızı kabul etmiş bulunmaktasınız.
8. İşbu Sözleşme’nin ve ona bağlı olarak akdedilen sözleşmelerin ve eklerinin bazı maddelerinin kısmen veya tamamen geçerliliğini yitirmesi, ortadan kalkması veya uygulanamaz hale gelmesi, belgenin tümünü geçersiz kılmaz. Diğer hükümler yürürlükte kalırlar.

 

 

User and Membership Agreement

REZTORAN USER AND MEMBERSHIP AGREEMENT

This document constitutes the legal agreement entered into between Reztoran Elektronik İletişim Yazılım Ticaret A.Ş. ("Reztoran") and the person wishing to benefit from the services offered online by Reztoran (through its website and/or mobile application or applications that may be developed on similar platforms) ("User").

By clicking the "I accept membership" button available at the relevant link after reading this Agreement in full, you agree to be bound by it. If you enter into this Agreement on behalf of a legal entity, by checking the relevant box you shall be deemed to represent and warrant that you are authorised to enter into this Agreement for and on behalf of such legal entity. Where the Agreement is concluded for and on behalf of a legal entity, the term "User" below shall also include such legal entity and its affiliated companies.

1. Services

The restaurant reservation services provided by Reztoran include enabling Users, through the internet, mobile phones, applications that may be developed on similar platforms and other digital environments, to view restaurants included in the system, make online reservations, amend reservations, view past reservations, rate and review restaurants included in the system and on platforms provided by Reztoran's business partners, add special dates to the calendar in their User profiles, access information provided by restaurants included in the system, read reviews about such restaurants submitted by experts and Users, benefit from special offers that member restaurants may provide to Users, place orders, receive delivery of orders, add friends within the application, use chat features and benefit from other services to be provided by Reztoran.

Within the scope of the ordering service, Users may: (i) place simultaneous orders from multiple restaurants through a single basket, (ii) plan group orders by creating a shared basket with other Users, (iii) buy meals for or send gifts to persons of their choice through the application, and (iv) track the status of their orders in real time and receive notifications regarding delivery processes.

2. Membership System

1. The "username" and "password" selected by a User who becomes a member of the Reztoran system ("Portal") are confidential information specific to that User, and the User is obliged not to share such information with third parties. Otherwise, the User shall be directly responsible for all losses, damages and claims arising from the use of such information by third parties. If the User forgets the password, Reztoran shall, upon request, send a link to the email address registered on the Portal so that a new password may be created.
2. Users who become members of the Portal and benefit from the services may log in to their User accounts to track future and past reservations, update and cancel future reservations, review their Reztoran Card balances, place orders, buy meals for others, receive order deliveries, add friends within the application, use chat features and benefit from advantages offered by Reztoran exclusively to members. Users who are not members of the Portal may not benefit from these services.
3. Users may establish friendship connections with other Users on the Reztoran platform. A User may view another User's profile and send a friendship request by selecting "Add as Friend". A friendship request shall not become effective unless accepted by the other User. Once a friendship connection has been established, Users may communicate with each other more quickly and easily. The chat feature in the mobile application enables Users to communicate with one another. After becoming members, Users may chat with other Users, share restaurant experiences, make recommendations and discuss other opportunities provided through the Reztoran platform. In addition, a shared basket feature is offered to facilitate cooperation and convenience among Users. Through this feature, multiple Users may jointly use the same order basket, place group orders or buy meals for their friends. All such features shall be available only to Users who have logged in as members. While regulating friendship requests, chat features and communication between Users on the platform, Reztoran may carry out various controls to prevent Users from contacting other Users in a disturbing or inappropriate manner. When chatting with other Users or sending friendship requests, Users must always comply with the platform's terms of use and ethical rules. Otherwise, a User account may be suspended without prior warning or restrictions may be imposed. Users must refrain from insulting other Users, sharing sexual content, or sending racist, discriminatory, threatening content or content relating to unlawful activities. Where Reztoran detects such conduct, it may suspend or terminate the relevant User accounts. Reztoran has the right to discontinue or restrict, in whole or in part, the chat and friendship features provided between Users on the platform. Such a change shall be notified in advance so as not to adversely affect Users' experience of the platform. Reztoran may impose restrictions on chat and friend-adding features in order to prevent conduct that is inconsistent with the purpose of the platform or is unethical.
4. The User may cancel an order placed through the Reztoran application or website, without providing any reason and without charge, within 1 (one) minute before the order is transmitted to the restaurant. Cancellation may only be carried out through the "Cancel" option provided in the system. Cancellation requests made after the expiry of this period or after the order has been transmitted to the restaurant shall be subject to the approval of Reztoran and/or the relevant restaurant, and in such cases a refund may not be made.
5. Reztoran shall not be held responsible where persons under the age of 18 or persons with restricted legal capacity provide information to or conduct transactions on this website without the permission of their parents or legal guardians.
6. The User has the right to terminate membership at any time. Following termination of membership, all relations with our website shall cease.
7. The User bears full responsibility for selecting a strong and secure password for the membership account, keeping the password confidential and secure, and not sharing account information with third parties.

3. User's Obligations

1. The User accepts that the information provided in the registration form is accurate. The User accepts that the User shall be responsible for any losses or damages suffered by the User or third parties due to the provision of incorrect or incomplete information and that, in such circumstances, Portal membership may be terminated.
2. For the purpose of enabling Reztoran to provide the services under this Agreement properly and effectively, the User consents to the sharing of the name and other contact information entered by the User into the Portal with the member restaurant receiving the reservation. Reztoran is not a party to, and shall not be held responsible for, any dispute that may arise between the User and a member restaurant due to such shared information.
3. The User accepts that the User is personally responsible for all transactions carried out using the User's "username" or registered email address.
4. The User accepts and undertakes that the copyright in the services provided by Reztoran and the website and software made available for the User's use belongs to Reztoran and that the User shall not reproduce or distribute such software in any manner. If the User provides false, irregular, incomplete or misleading information; copies all or part of the website content without authorisation; uses or attempts to use software or carry out activities that threaten the security of the website or prevent the website or the software used from operating; or obtains, deletes or alters information, Reztoran may block the User's access to the website and reserves all legal rights against the person or persons involved in such attempts.
5. The User accepts that the User is responsible for personal opinions, thoughts and statements entered into the Portal, files added to the Portal and personal information sent by the User, and that Reztoran may not under any circumstances be held responsible for such opinions, information, thoughts, statements or files, including disputes that may arise between a member restaurant and the User.
6. The User accepts that the User alone shall be responsible for any unauthorised use on the Portal of images, opinions, copyrighted content or similar materials belonging to third parties and that Reztoran shall have no responsibility whatsoever in this respect.
7. The User accepts that the User alone shall be responsible for any improper viewing of content intended for persons over the age of 18 that may, in certain circumstances, be available on the Portal.
8. The User accepts that the User alone shall be responsible for failing to use, within the period specified in the relevant campaign, any opportunity or campaign obtained through a service provider other than the Portal.
9. The User accepts that a reservation made through the Portal may be cancelled if the User does not amend it within the option period determined by the relevant restaurant or does not attend the relevant restaurant at the time specified in the reservation.
10. The User accepts that, if the User frequently cancels reservations, the relevant restaurant may refuse to accept further reservations and that, if reservation cancellations recur across various restaurants, the User's membership may be suspended or terminated.
11. The User accepts that the service provided by Reztoran merely facilitates the exchange of information between the User and restaurants included in the system; that reservations provided through the Portal are limited to the availability of member restaurants; that Reztoran is not responsible where the relevant restaurant does not accept a reservation, a reservation cannot be amended or cancelled, or for content supplied by member restaurants; that the availability shown on the Portal may not always reflect the current status; and that Reztoran is not a party to and bears no responsibility for disputes that may arise between the User and a restaurant due to services provided by the restaurant or for any other reason. Likewise, the User accepts that orders placed through Reztoran platforms fall within the scope of services provided by restaurants included in the system; that the preparation, delivery, cancellation or amendment of orders is entirely the responsibility of the restaurants; and that Reztoran is not a party to and bears no responsibility for any disruption or dispute arising in relation to such matters. The User understands that Reztoran only facilitates the flow of information and that the legal or commercial consequences arising from the service relationship between restaurants and Users shall be resolved between those parties.
12. If the User is informed that a pre-authorisation for a certain amount may be obtained in order to make a reservation during use of the Portal, the User accepts that such payment shall be made between the relevant restaurant and the User; that Reztoran may not be held responsible for whether the pre-authorisation or payment is successfully completed; that if no pre-authorisation is obtained or a subsequent payment collection cannot be completed successfully, the relevant restaurant may refuse to provide the service and/or the User may not be able to benefit from special offers; and that Reztoran shall have no responsibility for payment-related matters.
13. The User acknowledges that only the restaurants listed in the system are responsible for changing information regarding the status, price and features of services, products or special campaigns offered on the Portal, and accepts that Reztoran shall not be responsible for errors in reservation availability, campaign prices or features, or information relating to orders.
14. The User accepts that Reztoran shall not be responsible for information being lost, displayed incompletely or transmitted to an incorrect address during the User's use of the Portal.
15. The User accepts and undertakes to access the services offered on the Portal only in the manner specified in the system, not to interfere with or alter the forms and formats in the system, and not to use any content that is visibly altered; otherwise, the User shall compensate Reztoran for any pecuniary and non-pecuniary loss incurred in this regard.
16. The User accepts that Reztoran shall not be responsible for losses arising from the unauthorised use by third parties of information and data entered into the Portal by the User, or from the User's posts being used, shared or published by third parties without authorisation.
17. The User accepts and undertakes not to send messages or comments containing content that is contrary to the laws of the Republic of Türkiye or international treaties, threatening, contrary to public morals, insulting, profane or racist, and that any text, title or nickname added to the Portal must comply with general standards of morality, etiquette and law.
18. The User undertakes not to behave in a manner that adversely affects other Users' use of the Portal; not to make insulting, threatening or harassing statements to third parties (including other Users, restaurants and their employees); not to violate the personal rights or names of persons or institutions; and not to publish, reproduce or distribute immoral, inappropriate or unlawful materials or information.
19. The User accepts and undertakes not to use the Portal for commercial or advertising purposes, not to sell or offer to sell any goods or services, not to conduct surveys, competitions or chain-letter activities, and not to send information or programs that may damage information or software on the computers of other Users.
20. The User accepts that the User is fully responsible for any loss suffered as a result of using the Portal; that the User is fully responsible for any damage to the User or the User's computer, malfunctions, loss of information and other damage or loss arising from the use of information, records or materials obtained during use of the Portal; and that the User has no claim against Reztoran for any receivable, compensation or other amount, under any name whatsoever, in relation to such matters.
21. The User accepts and undertakes that the information provided for payments made through the application and website (including credit card and GSM/mobile telephone number information) is accurate and that the User bears all legal and criminal liability arising therefrom.
22. The User accepts and undertakes not to transmit information whose transmission is prohibited by law, not to share chain mail, software viruses or similar data that the User is not authorised to send, and not to record, disseminate or misuse the personal information of others. The User acknowledges that identification data known as cookies are used in the reservation system; that cookies are pieces of information transferred by a website to the cookie file on the hard drive of the User's computer; that cookies enable Users to navigate the system; and that, where necessary, they assist in preparing content appropriate to the needs of Users accessing the website.

4. Reztoran's Rights and Authorities

1. Reztoran owns all intellectual and industrial property rights in the Portal and in the data and information generated through use of the Portal. Reztoran owns the proprietary rights and related copyrights in information, documents, software, designs, graphics and similar works created by or purchased from third parties by Reztoran.
2. With the User's explicit consent, Reztoran may inform Users by email about promotions from which they may benefit and new services or projects available within the Portal; contact Users through any communication channel shared by them, including social media channels; and share various promotional, campaign and similar information. Users may themselves determine the channels through which they wish to receive information and may at any time request removal from the email information list or request that information no longer be sent through other channels.
3. Reztoran may at any time, without prior warning, temporarily suspend or completely discontinue operation of the Portal and may temporarily suspend or permanently terminate the membership of Users who carry out transactions giving rise to security concerns or act contrary to the rules set out in this Agreement or the rules of the service-providing restaurant. Reztoran shall have no liability to Users or third parties due to the temporary suspension or complete discontinuation of the Portal or a User's membership.
4. At the request of members, Reztoran may view members' usernames or email addresses and passwords.
5. Reztoran is authorised to monitor the entire reservation system at any time and on a continuous basis.
6. Reztoran is authorised to use the Portal, together with all of its content, for advertising and commercial purposes.
7. Reztoran is authorised to back up and delete some or all of the files and messages maintained by Users in the environment while benefiting from the Portal, at intervals it considers appropriate. Reztoran shall have no liability due to backup or deletion operations.
8. Reztoran has the right to publish, process, share on social media networks or move to another location it deems appropriate within the reservation system any information, document, software, design, graphic or similar work created by Users and voluntarily uploaded by them to the system for publication, through any written or visual medium. The User may not claim from Reztoran any right, receivable, compensation or royalty under any name whatsoever due to such published information being copied, processed or published by other Users.
9. Reztoran may redirect Users from the www.reztoran.com website to other websites. In such case, the User accepts that Reztoran is not responsible for the content of the websites to which the User is redirected. Reztoran gives no warranty regarding the security, accuracy, currency or content of such websites.
10. Reztoran may make changes to the implementation of this Agreement, amend existing provisions or add new provisions due to future technical requirements or in order to comply with legislation. Such changes shall become effective upon Users being informed. Reztoran may announce amendments to the Agreement by publishing them on the website or by notifying Users.

5. Intellectual Property Rights and Use

1. All rights of use, licence rights and all other intellectual and industrial property rights relating to the "REZTORAN" trademark and the "Reztoran" Portal belong to REZTORAN. Without limitation, such rights include copyrights, registered or unregistered design rights, trademark rights, trade name rights and all other similar rights worldwide and within national borders, and all intellectual and industrial property rights arising therefrom throughout the world and/or within the borders of Türkiye belong to REZTORAN. Members may not resell, share, distribute, display or reproduce Reztoran services, Reztoran information or works protected by Reztoran's copyrights, may not create or prepare derivative works from them, and may not permit another person to access or use the seller's services; otherwise, they shall be responsible for paying the amount of compensation claimed from the seller for losses suffered by third parties, including but not limited to licensors, and all other liabilities, including but not limited to court costs and attorneys' fees.
2. All intellectual and industrial property rights relating to trademarks, logos, photographs, company names or product names other than the "REZTORAN" trademark used within the Portal or on the website belong to the relevant companies or persons.
3. Any use of Reztoran's trade name, trademark, logo or other identifying signs without Reztoran's prior written approval shall constitute an infringement of Reztoran's intellectual and industrial property rights, and Reztoran shall have the right to pursue legal remedies and to terminate this Agreement immediately and unilaterally, without any further notice or cure period and without any obligation to pay compensation, fees or any other amount.
4. The User represents, accepts and undertakes that: (i) the User is the lawful rights holder of all information, messages, data, text, photographs, logos, graphics, visuals, links and all related materials and data that the User uploads or requests to be uploaded to the Portal, and has obtained all necessary permissions, consents and licences relating to copyright and similar rights that must be obtained from third parties; (ii) the publication and/or use of such materials does not infringe any copyright or intellectual or industrial property right belonging to a third party; (iii) the User consents to such materials and data being published and used on the www.reztoran.com website, within mobile applications belonging to REZTORAN and on websites or mobile applications of advertising recipients for advertising purposes, and to their use and publication by REZTORAN for the advertising, marketing and promotion of REZTORAN and the analysis of REZTORAN services; and (iv) if there is any change in such ownership of rights, the User shall immediately notify REZTORAN of such change; the User irrevocably represents, accepts and undertakes the foregoing.
5. The User represents and undertakes that the User assigns to Reztoran, free of charge and for an unlimited period, all economic rights specified in the Turkish Law on Intellectual and Artistic Works No. 5846, including all rights of publication, processing and reproduction, distribution, representation, communication to the public by devices enabling the transmission of signs, sounds and/or images, and transfer and assignment to third parties, together with the moral rights required for the exercise of such economic rights, in relation to the User's own messages, comments, photographs and correspondence entered into the Portal. Accordingly, the User consents to Reztoran displaying the User's full first name and the initial of the User's surname in comments recorded by the User on the Portal, preparing reports without disclosing membership information, using such information and reports, and sharing reports or statistics with business partners or third parties, for consideration or free of charge.
6. The User accepts and undertakes not to reproduce, copy, distribute, process or transmit, in whole or in part, online or by any other method, the products, information, databases, images, text, icons, visual and audio images, video clips, files, website content, software code, HTML code or other code, designs, catalogues and lists available on the website, and not to compete directly and/or indirectly with Reztoran through such acts or by other means.
7. If the User breaches any obligation set out in this article, the User shall be exclusively and directly liable for all losses suffered by Reztoran.

6. Personal Data

By accepting this User and Membership Agreement, you also accept the Personal Data Processing and Protection Policy available at www.reztoran.com/kvk.

7. Limitation of Liability

1. All services provided under or through this Agreement are provided "as is" and "as available", subject to the terms set out in this Agreement.
2. Reztoran does not represent, warrant or guarantee the reliability, timeliness, quality, suitability or availability of the Portal, the website, the mobile application or services obtained through any other method, or of any service or goods, nor that the services will be uninterrupted or error-free. Reztoran also does not guarantee the quality, suitability, safety or capability of the services that restaurants registered in the system provide to Users. To the maximum extent permitted by applicable law, all risks arising from the use of the services or any goods or services requested in connection with them shall rest with the relevant restaurant.
3. Even if Reztoran has been advised of the possibility of damage, Reztoran shall not be liable for any indirect, incidental, special, exemplary, punitive or consequential damages, including loss of profits, loss of data, personal injury or property damage, arising in connection with or in any way resulting from the use of the services that are the subject of this Agreement.
4. Reztoran shall not be liable for delays or failures in performance arising from causes beyond its reasonable control. In addition, Reztoran shall not be responsible for: (i) changes made to the website, mobile application or Portal; (ii) permanent or temporary interruptions that may occur in the provision of the website or any feature of the website; (iii) deletion, corruption or failure to retain any content or other communications obtained or transmitted by the User through use of the website, Portal or mobile application; (iv) the inaccuracy of information entered by the User into the Portal; (v) the User's failure to maintain the security and confidentiality of the User's password or User account details; or (vi) inability to access the website or Portal due to errors, malfunctions or interruptions in the equipment, hardware, infrastructure, system, server or network used by the User.
5. The Parties mutually agree that Reztoran's aggregate liability to the User for all damage, loss and causes of action relating to the services that are the subject of this Agreement shall, provided that such liability is established by a final court judgment, be limited to the total amount of service fees collected by Reztoran from the User during the one-year period preceding the event giving rise to the claim for compensation.

8. Miscellaneous

1. This Agreement shall enter into force between the Parties for an indefinite period when the User completes the User registration form and checks the relevant box in the system confirming acceptance of the Agreement. Either Party may terminate this Agreement at any time.
2. If any provision of this Agreement is breached, Reztoran shall have the right, without any further cure period or notice, to terminate this Agreement unilaterally and to suspend and/or terminate any membership and supply of services.
3. The User may not assign or transfer this Agreement or the User's membership, in whole or in part, without Reztoran's prior written consent.
4. This Agreement shall be interpreted, and all disputes arising out of or in connection with this Agreement shall be resolved, directly in accordance with Turkish law, without recourse to conflict-of-laws rules, even where the Agreement contains a foreign element in any manner.
5. For the implementation of this Agreement, within the monetary limits determined each December by the Ministry of Trade of the Republic of Türkiye, the Provincial or District Consumer Arbitration Committees located at the place where the member purchased the product or where the member resides shall have jurisdiction; for disputes exceeding such monetary limits, the Consumer Courts shall have jurisdiction.
6. The User accepts that Reztoran's electronic records maintained in its databases or servers, commercial books and records, computer records and other commercial documents shall constitute valid, binding, conclusive and exclusive evidence within the meaning of Article 193 of the Turkish Code of Civil Procedure, that this provision constitutes an evidentiary agreement, and that Reztoran is released from the requirement to take an oath.
7. If any provision of this Agreement, or of agreements and annexes entered into in connection with it, becomes partially or wholly invalid, ceases to exist or becomes unenforceable, this shall not invalidate the document as a whole. The remaining provisions shall continue in full force and effect.
